1. Acceptance of Terms and Agreement to These Conditions

By accessing, downloading, installing, or using Sublystic ("the App," "our Application," "the Service," or "Sublystic"), whether through mobile devices, web browsers, or any other means now known or hereafter developed, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms," "Agreement," or "Terms of Service") in their entirety, as well as our Privacy Policy, and any other supplementary terms, policies, or guidelines that may be incorporated herein by reference or made available through the App.

If you do not agree to all of these Terms and Conditions, or if you do not have the legal capacity or authority to enter into this binding agreement, you must immediately discontinue all use of the App and refrain from accessing any of its features, functionalities, or services. Your continued use of the App after any modifications to these Terms constitutes your acceptance of such changes.

These Terms apply to all visitors, users, subscribers, and others who access or use the Service, including but not limited to free tier users, Pro Lite subscribers, Pro subscribers, booster pack purchasers, trial users, and any other persons or entities who interact with the App in any capacity.

2. Comprehensive Service Overview and Description

Sublystic is a sophisticated, cloud-based and locally-operated mobile application platform that leverages advanced artificial intelligence technologies, machine learning algorithms, optical character recognition (OCR) powered by Google ML Kit, and generative AI models (including but not limited to Gemini and Gemini Flash) to provide comprehensive subtitle extraction, creation, editing, refinement, translation, and export services for video content.

The App is designed to serve content creators, video editors, educators, trainers, translators, accessibility professionals, media organizations, and individual users who require automated and semi-automated subtitle generation capabilities. Sublystic processes video files from various sources including local device storage, cloud storage services, and online platforms such as YouTube, and applies sophisticated algorithms to detect, extract, clean, format, and enhance embedded subtitles or generate new subtitles from scratch.

The Service includes, but is not limited to, the following capabilities and features:

  • Video OCR Extraction: Utilization of optical character recognition technology to identify and extract embedded subtitles directly from video frames, regardless of whether the subtitles are hard-coded or soft-coded into the video content.
  • AI-Powered Subtitle Cleaning and Refinement: Automated correction of grammar, punctuation, capitalization, sentence structure, and formatting inconsistencies using state-of-the-art generative AI models to enhance readability and professional quality.
  • Multilingual Subtitle Translation: Instant translation of subtitle content into multiple languages using AI-powered translation services to facilitate global accessibility and international distribution.
  • Integrated Subtitle Editor: A full-featured, user-friendly editing interface that allows users to manually adjust subtitle timing, merge or split subtitle segments, rephrase text content, correct errors, and fine-tune synchronization with video content.
  • Multiple Format Support and Export Options: Comprehensive support for industry-standard subtitle formats including but not limited to SRT (SubRip), VTT (WebVTT), SSA (SubStation Alpha), and ASS (Advanced SubStation Alpha), with export capabilities optimized for various platforms including YouTube, Vimeo, professional video editing software, and streaming services.
  • Built-in Video Player and Preview Functionality: An integrated video playback engine that enables users to preview subtitle synchronization in real-time without the need for external video players or additional software.
  • Hybrid Storage Architecture: Flexible storage options including local device storage for Free tier users and cloud-based storage with synchronization capabilities for Pro Lite and Pro subscribers.
  • AI-Driven Subtitle Creation: Generation of subtitles from scratch for videos that contain no existing captions or embedded subtitle data, using advanced speech recognition and natural language processing technologies.

Sublystic operates on a time-based usage model measured in minutes of video processing, with different subscription tiers and one-time booster packs available to accommodate varying user needs and usage patterns. The App may be updated, modified, enhanced, or otherwise changed at any time at the sole discretion of the service owner, and certain features may be added, removed, or altered without prior notice.

3. User Accounts, Registration, and Account Management

3.1 Account Creation and Registration Requirements

To access and utilize the full range of features and functionalities provided by Sublystic, users must create and maintain an active user account. While the App may offer limited anonymous sign-in capabilities for basic exploration or trial purposes, a fully registered account with verified contact information is mandatory for:

  • Purchasing or activating any subscription plan (Free, Pro Lite, or Pro)
  • Acquiring one-time booster packs
  • Accessing cloud storage features
  • Syncing data across multiple devices
  • Participating in the referral program
  • Receiving customer support
  • Accessing purchase history and billing information

During the registration process, you agree to provide accurate, current, complete, and truthful information as prompted by the registration form. You further agree to maintain and promptly update your registration information to ensure it remains accurate, current, and complete at all times during your use of the Service.

3.2 Account Security and Confidentiality

You are solely and exclusively responsible for:

  • Maintaining the strict confidentiality of your account credentials, including your username, password, email address, and any other authentication information
  • All activities, transactions, communications, and actions that occur under your account, whether authorized by you or not
  • Immediately notifying Sublystic of any unauthorized access, use, or suspected security breach related to your account
  • Ensuring that you log out from your account at the end of each session, particularly when accessing the App from shared or public devices

The service owner shall not be liable for any loss, damage, liability, or expense arising from your failure to maintain account security or from unauthorized access to your account resulting from your negligence or willful misconduct.

3.3 Account Termination and Suspension

You may terminate your account at any time by following the account closure procedures outlined within the App settings. Upon termination, your access to paid features will continue until the end of your current billing cycle, after which no refunds will be provided for unused time or features.

The service owner reserves the right, in sole and absolute discretion, to suspend, restrict, or permanently terminate your account and access to the Service, without prior notice or liability, for any reason including but not limited to:

  • Violation of these Terms and Conditions
  • Fraudulent, abusive, or illegal activity
  • Failure to pay applicable fees
  • Prolonged inactivity
  • Violation of applicable laws or regulations
  • Behavior that is determined to be harmful to the App, other users, or third parties

4. Subscription Plans, Payments, and Financial Terms

4.1 Subscription Plan Structure and Features

Sublystic offers multiple subscription tiers designed to accommodate different user needs, usage patterns, and budget considerations:

  • Free Tier:
    • 300 minutes of video processing per calendar month
    • Local storage only (no cloud synchronization)
    • Advertisement-supported experience
    • Basic AI cleaning capabilities
    • Standard processing priority
    • Access to core subtitle extraction and editing features
  • Pro Lite Tier:
    • Monthly subscription fee of $2.99 USD (or equivalent in local currency)
    • 1,000 minutes of video processing per calendar month
    • Ad-free experience
    • Partial cloud storage (up to 3 active projects)
    • Standard AI cleaning plus translation capabilities
    • Medium processing priority
    • Enhanced customer support
  • Pro Tier:
    • Monthly subscription fee of $9.99 USD (or equivalent in local currency)
    • 10,000 minutes of video processing per calendar month
    • Completely ad-free experience
    • Unlimited cloud storage and synchronization
    • Advanced AI processing including sophisticated grammar correction, formatting, and translation
    • Highest processing priority
    • Premium customer support with faster response times
    • Early access to new features and beta testing opportunities

Monthly processing minutes reset at the beginning of each billing cycle and do not roll over to subsequent months. Unused minutes from any given month expire at the end of that billing cycle and cannot be transferred, carried forward, or refunded.

4.2 Booster Packs and Additional Minutes

In addition to subscription plans, Sublystic offers one-time purchase booster packs that provide additional video processing minutes:

  • Small Boost:
    • One-time payment of $1.99 USD
    • 300 additional minutes
    • Suitable for processing 1-2 long-form videos
  • Creator Boost:
    • One-time payment of $6.99 USD
    • 1,000 additional minutes
    • Designed for semi-regular subtitle work
  • Studio Boost:
    • One-time payment of $9.99 USD
    • 2,000 additional minutes
    • Optimized for small studios, agencies, or heavy users

Booster pack minutes do not expire and remain available in your account indefinitely. However, booster minutes are only consumed after all monthly subscription minutes have been exhausted in any given billing period. Booster packs are non-refundable once purchased and cannot be transferred between accounts.

4.3 Payment Processing and Third-Party Services

All payments for subscriptions and booster packs are processed through Paddle, a third-party payment processor and merchant of record. By making any purchase through Sublystic, you acknowledge and agree that:

  • You are subject to Paddle's terms of service, privacy policy, and payment processing terms
  • The service owner does not directly process, store, or have access to your complete payment card information
  • Payment disputes must be directed to Paddle in accordance with their dispute resolution procedures
  • Paddle may collect and process your billing information, transaction history, and payment method details
  • Currency conversion, international transaction fees, and payment processing fees may apply depending on your location and payment method

You authorize the service owner and Paddle to charge your designated payment method on a recurring basis for subscription fees and on a one-time basis for booster pack purchases. You agree to maintain valid and current payment information in your account at all times.

4.4 Automatic Renewal and Cancellation

All subscription plans automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You will be charged the then-current subscription fee for your selected tier at each renewal. Subscription fees may be modified at any time with reasonable advance notice provided through the App or via email.

To cancel your subscription and prevent automatic renewal:

  • Navigate to account settings within the App
  • Select subscription management
  • Follow the cancellation procedure
  • Confirmation of cancellation will be provided via email

Cancellation must be completed at least 24 hours prior to the end of the current billing cycle to avoid charges for the subsequent period. Upon cancellation, you will retain access to paid features until the end of your current billing cycle, after which your account will revert to the Free tier.

4.5 Refund Policy and No-Refund Conditions

Due to the inherently digital and immediately accessible nature of the services provided by Sublystic, and in accordance with applicable consumer protection laws regarding digital content, all purchases are final and non-refundable except under specific limited circumstances.

Refunds will only be considered and may be granted at the service owner's sole discretion in the following exceptional situations:

  • The purchased service has not been accessed, used, or consumed in any way
  • A technical error or system malfunction prevented service delivery
  • Duplicate charges occurred due to payment processing errors
  • The user can demonstrate that the service was fundamentally non-functional or unusable

Once any portion of a subscription period has elapsed, or once any processing minutes have been consumed from a booster pack, no refund will be provided under any circumstances. This includes situations where:

  • The user is dissatisfied with subtitle accuracy or quality
  • The user changes their mind about the purchase
  • The user discovers they do not need the service
  • The user fails to cancel before an automatic renewal
  • The user's usage patterns differ from their expectations

Refund requests must be submitted in writing to customer support within 7 days of the original purchase date and must include detailed justification for the refund request along with supporting documentation or evidence.

5. AI-Generated Subtitles, Accuracy, and Limitations

5.1 Nature of AI-Generated Content

Sublystic utilizes sophisticated artificial intelligence technologies, machine learning models, optical character recognition systems, and generative AI algorithms to extract, create, clean, format, and enhance subtitle content. However, users must understand and acknowledge that:

AI-generated and AI-processed subtitles are not guaranteed to be 100% accurate, complete, or error-free. The accuracy of subtitle output depends on numerous factors including but not limited to:

  • Video quality and resolution
  • Audio clarity and background noise levels
  • Accent, dialect, and speaking patterns of speakers
  • Technical terminology or specialized vocabulary
  • Embedded subtitle quality in source material
  • Language complexity and contextual nuances
  • OCR recognition accuracy for various fonts and styles
  • AI model training data and algorithmic limitations

5.2 User Responsibility for Review and Verification

By using Sublystic's AI-powered subtitle services, you explicitly acknowledge and agree that:

  • You are solely responsible for reviewing, verifying, and validating all AI-generated or AI-processed subtitle content before use, distribution, or publication
  • The service owner makes no warranties, representations, or guarantees regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated subtitles
  • AI-generated content may contain errors, omissions, misinterpretations, grammatical mistakes, timing inaccuracies, or other defects
  • Professional or commercial use of subtitles requires thorough human review and editing
  • Subtitles for accessibility purposes (ADA compliance, WCAG standards, etc.) must meet applicable legal requirements and should be professionally verified

5.3 Disclaimer of Warranties

SUBLYSTIC PROVIDES AI-GENERATED SUBTITLE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE OWNER DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Warranties of fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties of accuracy or reliability
  • Warranties of error-free or uninterrupted service

5.4 Recommended Best Practices

For optimal results and to minimize errors, Sublystic strongly recommends that users:

  • Manually review all AI-generated subtitles in their entirety
  • Use the built-in subtitle editor to correct errors and refine timing
  • Compare generated subtitles against original video content
  • Conduct multiple review passes for professional or commercial projects
  • Consider professional human verification for critical applications
  • Test subtitle files with target platforms before publication

6. User Content, Intellectual Property, and License Grants

6.1 User Content Ownership and Responsibility

You retain all ownership rights, intellectual property rights, and proprietary interests in and to all video files, audio content, images, text, data, and other materials that you upload, submit, transmit, or otherwise make available through the App ("User Content"). The service owner does not claim any ownership over your User Content.

However, you represent, warrant, and covenant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to upload and process your User Content through the Service
  • Your User Content does not infringe, violate, or misappropriate any third-party intellectual property rights, including copyrights, trademarks, patents, trade secrets, moral rights, privacy rights, publicity rights, or any other proprietary rights
  • Your User Content does not contain defamatory, libelous, obscene, pornographic, abusive, or otherwise unlawful material
  • Your User Content complies with all applicable laws, regulations, and industry standards
  • You have obtained all necessary permissions from individuals appearing in your User Content, including model releases and consent for image and likeness usage where applicable

6.2 License Grant to Service

By uploading or submitting User Content to the App, you hereby grant to the service owner a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to:

  • Access, store, process, analyze, and manipulate your User Content for the sole purpose of providing the Service and generating subtitles
  • Use AI, machine learning, and OCR technologies to extract information from your User Content
  • Create derivative works (subtitles, transcriptions, translations) based on your User Content
  • Temporarily cache or store your User Content on servers or cloud infrastructure during processing
  • Display your User Content within the App's video player for preview and editing purposes
  • Perform technical operations necessary to deliver the Service, including format conversion, compression, and optimization

This license exists only for the duration necessary to provide the Service to you and terminates when you delete your User Content from the App, except to the extent that continued storage is required for backup, legal compliance, or technical system limitations.

6.3 Content Storage and Deletion

For Free Tier Users:

  • User Content and generated subtitles are stored locally on your device only
  • The service owner does not retain copies of your videos on servers
  • You are responsible for backing up your projects and subtitle files
  • Deletion of the App or clearing app data will result in permanent loss of locally stored content

For Pro Lite and Pro Subscribers:

  • Generated subtitle files and project metadata may be stored in cloud infrastructure
  • Video files themselves are NOT stored in the cloud; only video URLs or local file references are maintained
  • Cloud-stored projects remain accessible until you manually delete them or your subscription lapses
  • Upon subscription cancellation or expiration, cloud-stored content may be retained for 30 days before permanent deletion
  • You may request immediate deletion of all cloud-stored content by contacting customer support

6.4 Prohibited Content and Content Restrictions

You agree not to upload, transmit, or process through the App any User Content that:

  • Infringes intellectual property rights of any third party
  • Contains viruses, malware, or malicious code
  • Depicts illegal activities or promotes illegal behavior
  • Contains child sexual abuse material (CSAM) or child exploitation content
  • Violates privacy rights or contains non-consensually shared intimate imagery
  • Promotes terrorism, violence, hatred, or discrimination
  • Constitutes spam, phishing, or fraudulent content
  • Violates export control or sanctions regulations
  • Contains personally identifiable information of third parties without consent

The service owner reserves the right to remove, delete, or refuse to process any User Content that violates these Terms or that is determined, in sole discretion, to be objectionable, inappropriate, or harmful.

7. Prohibited Uses and Acceptable Use Policy

In addition to content restrictions outlined above, you agree not to use the App or Service for any purpose that is prohibited by these Terms or by applicable law. Prohibited uses include but are not limited to:

7.1 Technical Violations

  • Attempting to gain unauthorized access to any portion of the App, server infrastructure, or connected systems
  • Interfering with or disrupting the integrity, security, or performance of the Service
  • Reverse engineering, decompiling, disassembling, or attempting to derive source code from the App
  • Using automated systems, bots, scrapers, or scripts to access the Service without express written permission
  • Circumventing, disabling, or interfering with security-related features or usage limitations
  • Probing, scanning, or testing vulnerabilities of the system or network
  • Introducing viruses, worms, Trojan horses, or other harmful code

7.2 Commercial and Competitive Violations

  • Reselling, sublicensing, or redistributing the Service or any portion thereof without authorization
  • Using the Service to develop, market, or distribute competing products or services
  • Extracting data or content for commercial purposes beyond normal personal or business use
  • Framing, mirroring, or embedding the App or Service without permission
  • Using the Service on behalf of third parties without a valid business or enterprise agreement

7.3 Legal and Ethical Violations

  • Violating any applicable local, state, national, or international law or regulation
  • Infringing intellectual property rights, privacy rights, or other legal rights of any party
  • Engaging in fraudulent, deceptive, or misleading practices
  • Harassing, threatening, or intimidating other users or service personnel
  • Impersonating any person or entity or falsely representing your affiliation
  • Collecting or harvesting personal information about other users without consent

7.4 Abuse and Resource Violations

  • Creating multiple accounts to circumvent usage limitations or access additional free tier benefits (except where expressly permitted)
  • Sharing account credentials with unauthorized third parties
  • Using the Service in any manner that could damage, disable, overburden, or impair servers or networks
  • Consuming unreasonable amounts of storage or processing resources beyond your subscription tier limits
  • Manipulating usage metrics, referral systems, or other promotional programs

Violation of any provision in this Section 7 may result in immediate termination of your account, forfeiture of any unused subscription or booster minutes, and potential legal action.

8. Limitation of Liability and Disclaimer of Damages

8.1 General Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SERVICE OWNER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Service
  • Any interruption, suspension, or termination of the Service
  • Errors, mistakes, or inaccuracies in subtitle content or AI-generated output
  • Personal injury, property damage, or any other damages resulting from your access to or use of the Service
  • Unauthorized access to or alteration of your transmissions or User Content
  • Statements or conduct of any third party using the Service
  • Loss of data, revenue, profits, business opportunities, or goodwill
  • Cost of procurement of substitute goods or services
  • Any other matter relating to the Service

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE SERVICE OWNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Cap on Monetary Liability

TO THE EXTENT THAT APPLICABLE LAW DOES NOT PERMIT THE COMPLETE EXCLUSION OF LIABILITY AS SET FORTH ABOVE, THE TOTAL AGGREGATE LIABILITY OF THE SERVICE OWNER TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT PAID BY YOU TO SUBLYSTIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD)

8.3 Specific Disclaimers

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE SERVICE OWNER SHALL NOT BE LIABLE FOR:

  • Inaccuracies, errors, or omissions in AI-generated subtitles
  • Loss or corruption of User Content or subtitle files
  • Interruptions in service due to maintenance, updates, or technical issues
  • Third-party actions or failures, including payment processor issues
  • Your reliance on subtitle accuracy for any critical purpose
  • Consequences of your failure to review and verify subtitle content
  • Incompatibility of subtitle files with third-party platforms or software
  • Changes to service features, pricing, or terms

8.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the limitations and exclusions in this Section 8 shall apply to the maximum extent permitted by applicable law, and you may have additional rights that vary by jurisdiction.

9. Indemnification and Hold Harmless

You agree to defend, indemnify, and hold harmless the service owner from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, expenses (including but not limited to attorneys' fees and legal costs), and amounts paid in settlement arising from or relating to:

  • Your use of or access to the Service
  • Your User Content or any content you upload, submit, or transmit through the App
  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your violation of any applicable law, regulation, or ordinance
  • Any willful misconduct, negligence, or wrongful act or omission on your part
  • Any dispute or issue between you and any third party

This indemnification obligation shall survive termination of these Terms and your use of the Service. You agree to cooperate fully in the defense of any claim and that the service owner may settle any claim at sole discretion, with or without your consent.

10. Account Termination and Suspension

10.1 Termination by User

You may terminate your account and discontinue use of the Service at any time by:

  • Accessing account settings within the App
  • Selecting the account closure or deletion option
  • Following the termination workflow and confirming your decision
  • Alternatively, contacting customer support to request account closure

Upon termination by you:

  • Your access to paid features will continue until the end of your current billing cycle
  • No refunds will be provided for unused subscription time or booster minutes
  • Your User Content and cloud-stored projects will be deleted within 30 days
  • Your email address may be retained for legal compliance and communication purposes
  • You may create a new account in the future subject to these Terms

10.2 Termination or Suspension by Service Owner

The service owner reserves the right, in sole and absolute discretion, to suspend, restrict, limit, or permanently terminate your account and access to the Service, with or without prior notice, and without liability to you or any third party, for any reason or no reason, including but not limited to:

  • Violation of these Terms and Conditions or any incorporated policies
  • Fraudulent activity, including payment fraud or chargebacks
  • Uploading prohibited content or engaging in prohibited uses
  • Abusive behavior toward other users or service personnel
  • Account inactivity for an extended period (typically 12 months or more)
  • Failure to pay applicable subscription fees
  • Legal or regulatory requirements
  • Technical or security concerns
  • Business decisions or changes in service offerings

In the event of termination for cause (i.e., due to your violation of these Terms):

  • All unused subscription time and booster minutes will be immediately forfeited without refund
  • Access to the Service will be immediately revoked
  • User Content may be deleted without opportunity for retrieval or backup
  • You may be permanently banned from creating new accounts
  • Legal action may be pursued if violations involve illegal activity

10.3 Effect of Termination

Upon termination or suspension of your account, regardless of the reason:

  • All rights and licenses granted to you under these Terms immediately cease
  • You must immediately discontinue all use of the App and Service
  • Provisions that by their nature should survive termination shall continue in effect, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions
  • The service owner is not required to provide you with access to your User Content or subtitle files after termination, though a reasonable opportunity for data retrieval may be provided in cases of voluntary termination

11. Governing Law, Jurisdiction, and Dispute Resolution

11.1 Governing Law

These Terms and Conditions, and any disputes arising out of or related to these Terms, your use of the Service, or your relationship with the service owner, shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

11.2 Jurisdiction and Venue

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Service must be instituted exclusively in the courts located in Dharmapuri, India, and you irrevocably submit to the exclusive jurisdiction of such courts in any such action, suit, or proceeding. You waive any objection to jurisdiction and venue in such courts based on inconvenient forum or any other basis.

11.3 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact the service owner directly to attempt to resolve the dispute informally. Please send a detailed description of the dispute to sublystic.helpdesk@gmail.com. The service owner will attempt to resolve the dispute in good faith within 30 days of receiving notice.

11.4 Arbitration (Optional)

If informal resolution is unsuccessful, either party may choose to pursue binding arbitration as an alternative to court proceedings. If arbitration is pursued:

  • Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 (India)
  • The arbitration shall take place in Dharmapuri, India
  • The arbitration shall be conducted in the English language
  • The arbitration shall be decided by a single arbitrator mutually agreed upon by both parties
  • Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise
  • The arbitrator's decision shall be final and binding

11.5 Class Action Waiver

YOU AND THE SERVICE OWNER AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

11.6 Time Limitation on Claims

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within ONE (1) YEAR after such claim or cause of action arose, or such claim or cause of action shall be permanently barred.

12. Modifications to Terms and Conditions

12.1 Right to Modify

The service owner reserves the right, in sole discretion, to modify, amend, update, revise, or replace these Terms and Conditions at any time, for any reason, without prior notice, though reasonable efforts will be made to provide notice of material changes as described below.

Modifications may include but are not limited to changes in:

  • Pricing, subscription tiers, or payment terms
  • Usage limitations or restrictions
  • Privacy practices or data handling
  • Legal requirements or compliance obligations
  • Liability provisions or warranties
  • Dispute resolution procedures

12.2 Notice of Material Changes

For material changes to these Terms, notice will be provided through one or more of the following methods:

  • Email notification to the address associated with your account
  • Push notification to your mobile device

Material changes will become effective no sooner than 30 days after notice is provided, except where changes are required immediately by law or to address security concerns, in which case they may take effect immediately upon notice or posting.

12.3 Acceptance of Modified Terms

Your continued use of the Service after modified Terms become effective constitutes your binding acceptance of the modified Terms. If you do not agree to modified Terms, your sole remedy is to discontinue use of the Service and terminate your account in accordance with Section 10.

It is your responsibility to review these Terms periodically for changes. The "Last Updated" date at the top of this document indicates when these Terms were last revised.

13. Intellectual Property Rights

13.1 Service Owner's Intellectual Property

All content, features, functionality, and elements of the Service, including but not limited to:

  • Software code, algorithms, and architecture
  • User interface design and visual elements
  • Logos, trademarks, service marks, and brand assets
  • Text, graphics, images, and multimedia content
  • AI models, machine learning algorithms, and training data (to the extent owned)
  • Documentation, tutorials, and help content

are owned by or licensed to the service owner and are protected by intellectual property laws including copyright, trademark, patent, trade secret, and other proprietary rights laws of India and international treaty provisions.

13.2 License to Use the Service

Subject to your compliance with these Terms, the service owner grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms.

This license does not grant you any rights to:

  • Reproduce, distribute, or publicly display any portion of the Service
  • Modify, adapt, translate, or create derivative works based on the Service
  • Reverse engineer, decompile, or disassemble any software components
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Service in any manner not expressly authorized by these Terms

If you use Sublystic to process videos from YouTube:

  • You must comply with YouTube's Terms of Service
  • You represent that you have all necessary rights and permissions to process the video content
  • Use of YouTube API Services is subject to Google API Services User Data Policy
  • YouTube content may be subject to additional restrictions or limitations

16. Referral Program Terms

16.1 Program Structure

Sublystic may offer a referral program where users can earn processing minutes by inviting new users to the Service. The current referral program provides:

  • 10 minutes of processing time for the referring user when a new user signs up using their referral link or code
  • 10 minutes of processing time for the referred new user upon account creation
  • No limit on the number of referrals a user can make

16.2 Referral Requirements and Restrictions

To participate in the referral program:

  • You must have an active Sublystic account in good standing
  • Referred users must be new to Sublystic and not have previously created an account
  • Referrals must be made in good faith to genuinely interested individuals
  • Self-referrals or creation of multiple accounts to earn referral bonuses is strictly prohibited
  • Use of automated systems, bots, or scripts to generate referrals is prohibited
  • Referral minutes are credited automatically upon successful signup and verification

16.3 Program Modifications and Termination

The service owner reserves the right to:

  • Modify, suspend, or terminate the referral program at any time without prior notice
  • Change referral rewards, eligibility criteria, or program terms
  • Withhold or revoke referral bonuses if fraud or abuse is detected
  • Disqualify users from the program for violations of these Terms

16.4 Referral Fraud

Any attempt to manipulate, exploit, or abuse the referral program, including but not limited to creating fake accounts, using multiple devices or identities, or engaging in fraudulent activity, will result in:

  • Immediate forfeiture of all referral bonuses
  • Suspension or termination of your account
  • Potential legal action for fraud

17. Advertising and Promotional Content

17.1 Advertisements for Free Users

Free tier users acknowledge and agree that the Service is advertisement-supported and that advertisements may be displayed within the App, including:

  • Banner ads within the user interface
  • Interstitial ads between actions or workflows
  • Video ads before or during certain features
  • Native ads integrated into content

17.2 Third-Party Advertising

Advertisements may be provided by third-party advertising networks and partners. These third parties may:

17.3 Ad-Free Experience

Users who subscribe to Pro Lite or Pro plans receive an ad-free experience with no advertisements displayed within the App. However, promotional communications about Sublystic's own products or features may still be displayed.

17.4 No Control Over Ad Content

While efforts are made to work with reputable advertising partners, the service owner does not control or endorse the content of third-party advertisements. The service owner is not responsible for:

  • The accuracy or reliability of advertised products or services
  • Any transactions between you and advertisers
  • Content, privacy practices, or terms of advertised third-party services
  • Technical issues or malicious content in advertisements

If you encounter inappropriate or offensive advertisements, please report them to the support team.

18. Export Controls and Compliance

18.1 Export Restrictions

The Service, including the software and technology underlying it, may be subject to export control and economic sanctions laws and regulations of India, the United States, and other jurisdictions. You agree to comply with all applicable export control laws and regulations.

18.2 Prohibited Jurisdictions

You represent and warrant that:

  • Internet or telecommunications failures not within control

If a force majeure event continues for more than 30 consecutive days, either party may terminate these Terms upon written notice without liability, except that you will not be entitled to refunds for services already rendered or time that has elapsed.

22. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

22.2 Waiver

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver unless otherwise expressly provided. Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22.3 No Partnership

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchisee relationship between you and the service owner. You have no authority to bind the service owner or make commitments on behalf of the service.

23. Entire Agreement and Interpretation

23.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and the service owner concerning the Service and supersede all prior or contemporaneous communications, agreements, representations, and understandings, whether oral or written.

23.2 Order of Precedence

In the event of any conflict between these Terms and any other incorporated policy or agreement, these Terms shall prevail unless the other document expressly states otherwise.

23.3 Language

These Terms are drafted in the English language. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency or dispute regarding interpretation.

23.4 Headings and Definitions

Section headings are for convenience only and do not affect the interpretation of these Terms. Unless otherwise specified, references to "days" means calendar days, "including" means "including without limitation," and words in the singular include the plural and vice versa.

24. Assignment and Transfer

You may not assign, transfer, delegate, or otherwise dispose of these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of the service owner. Any attempted assignment in violation of this section shall be void and of no effect.

24.2 Assignment by Service Owner

The service owner may freely assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without your consent or prior notice, including in connection with:

  • Sale of the business or app
  • Transfer to another individual or entity
  • Outsourcing to service providers or contractors
  • Any business restructuring

24.3 Effect of Assignment

Upon any permitted assignment, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

25. Feedback and Suggestions

25.1 Voluntary Submission

You may from time to time provide suggestions, comments, feedback, ideas, or other information concerning the Service ("Feedback"). Feedback is entirely voluntary and shall be deemed non-confidential and non-proprietary.

25.2 License to Feedback

By submitting Feedback, you grant the service owner a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any media or format, for any purpose whatsoever, without compensation, attribution, or obligation to you.

There is no obligation to:

  • Review, consider, or implement any Feedback
  • Maintain Feedback in confidence
  • Compensate you for Feedback
  • Respond to or acknowledge receipt of Feedback

25.4 No Rights Created

Submission of Feedback does not create any intellectual property rights for you in the Service or any obligation to acknowledge your contribution.

From time to time, Sublystic may offer features, functionalities, or services designated as "beta," "preview," "experimental," "early access," or similar terms (collectively, "Beta Features"). Beta Features are provided for testing, evaluation, and feedback purposes only.

Beta Features are provided "as is" and "as available" without warranties of any kind. No guarantees are made regarding:

  • Functionality, performance, or reliability
  • Continued availability or future inclusion in the Service
  • Data integrity or compatibility with future versions
  • Support or maintenance obligations

26.3 Feedback and Data Collection

By using Beta Features, you agree that:

  • Additional usage data, performance metrics, and error reports may be collected
  • You may be asked to provide feedback about your experience
